QuickNode is hiring a General Counsel, who will be a critical member of the executive team and oversee all legal matters across the organization. In addition to building and leading a legal team from the ground up, our General Counsel will be at the forefront of blockchain technology and facilitate and drive commercial decision-making through our product, engineering, revenue and operations functions. To be an effective legal leader at QuickNode, our General Counsel must be able to advise and partner with business leaders on a broad range of topics including public company reporting, compliance, corporate development, commercial transactions, IP, and day-to-day contracting and legal matters, and establish productive relationships with internal and external clients and business partners.
Job Description
- Advise and drive process on all legal aspects of company financings and acquisitions, including structuring and negotiating key transaction documents, managing due diligence, drafting offering documents and preparing securities filings
- Support various efforts related to corporate development, corporate governance, international expansion and investor relations
- Design and implement corporate policies, procedures and controls for rapidly expanding startup
- Manage the legal workflow for customer negotiations with Fortune 1000 companies and employment negotiations with incoming executives
- Create cybersecurity policies in partnership with our Information Technology team and build out a Compliance function to enforce security best practices relating to SOC2+, ISO 27001 and more
- Manage corporate structure and assist with subsidiary governance and international expansion
- Answer questions and offer legal advice on a wide range of issues, projects, and initiatives across the company, including in non-corporate areas such as equity, commercial, and product
Requirements
- JD degree (or foreign equivalent) with membership in at least one US state bar, preferably California or New York
- A minimum of 7 years combined relevant experience at a leading law firm, in-house legal department, or U.S. agency focusing on corporate transactions in venture capital and startups
- 5+ years of experience advising startup or private company clients on Series B to Series D financings and has managed at least 2+ IPO filings on behalf of startup clients
- Experience with a wide range of in-house legal matters including intellectual property, international, employment, litigation, and corporate matters
- A passion for technology and ability to quickly understand complex business models and product use cases; previous experience advising on cybersecurity policies on behalf of high-technology clients
- An entrepreneurial spirit–a self-starter who thrives in a fast-paced environment, deals well with ambiguity and focuses on driving impact
- Strong project management skills, capable of working under tight deadlines with high levels of resilience
- Excellent judgment and capable of making smart decisions with imperfect information
- Excellent written and verbal communication and advocacy skills
